These Terms of Service ("Terms") are a binding legal agreement between you ("you", "your", or "User") and VARSITY TECH PTE. LTD., a company incorporated in Singapore with Unique Entity Number (UEN) 202545496Z and registered office at Robinson Square, 144 Robinson Road, #13-01 , Singapore 068908 ("Quandora", "we", "us", or "our").
These Terms govern your access to and use of the Quandora website, hosted application, application programming interfaces ("API"), agent skills and connectors (including any Model Context Protocol integration), and all related tools, content, and services (collectively, the "Services").
PLEASE READ THESE TERMS CAREFULLY. By accessing or using the Services, creating an account, or clicking to accept these Terms, you acknowledge that you have read, understood, and agree to be bound by them and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must not access or use the Services.

1.1 Eligibility. You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Services. If you use the Services on behalf of an organisation, you represent and warrant that you are authorised to bind that organisation to these Terms, and "you" refers to that organisation.
1.2 Registration. Certain features require you to register for an account and provide accurate, current, and complete information. You agree to keep this information up to date.
1.3 Account security. You are responsible for safeguarding your account credentials, API keys, and access tokens, and for all activity that occurs under your account. You must notify us promptly at louis@varsity-tech.com of any unauthorised access or suspected security breach. We are not liable for any loss arising from your failure to secure your credentials.

The Services — what Quandora is and is not
2.1 What Quandora provides. Quandora is a research and validation infrastructure platform for systematic and quantitative finance. The Services allow you (or an AI agent acting under your direction) to express a market hypothesis as executable factor code, submit it to Quandora, and receive a structured evaluation ("Result Card") produced by our server-side backtesting and evaluation engine. Evaluations may include statistical measures such as Sharpe ratio, RankIC/ICIR, information-coefficient win rate, autocorrelation, return, maximum drawdown, turnover, and cost-viability, together with dedup/memory, error-repair, and pricing utilities.
2.2 Report rails, not trade calls. Quandora supplies data access, tests, risk and decay context, and report-generation infrastructure — evidence, not conclusions. The Services do not tell you whether an idea is profitable, whether an edge is "real", or whether to execute, hold, or close any position. Any interpretation, decision, or action taken on the basis of a Result Card is made by you (or your own agent) at your sole discretion and risk.
2.3 Hypothetical and historical results. All backtests and evaluations are simulations run against historical or supported market data. Hypothetical and back-tested performance has inherent limitations, does not represent actual trading, and is not a guarantee or indication of future results. Market data may be incomplete, delayed, revised, or inaccurate, and results may vary materially from live outcomes.
2.4 No performance guarantee. We do not represent, warrant, or guarantee any level of accuracy, profitability, return, or trading outcome. Nothing in the Services should be understood as a promise that any factor, signal, or strategy will perform in any particular way.
2.5 Changes to the Services. The Services are under active development. We may add, modify, suspend, or discontinue any part of the Services (including data sources, evaluation metrics, or endpoints) at any time, with or without notice. We will use reasonable efforts to notify you of material changes that adversely affect your use.

3.1 Quandora is a technology provider. We are not a licensed financial adviser, fund manager, broker, dealer, exchange, or trading platform, and we do not carry on anyregulated activity under the Securities and Futures Act 2001 or the Financial Advisers Act 2001 of Singapore, or any equivalent law in any other jurisdiction.
3.2 The Services, including all Result Cards, statistics, and outputs, are provided for informational and research purposes only. They do not constitute financial, investment, trading, legal, tax, or accounting advice, an offer, solicitation, or recommendation to buy, sell, or hold any security, digital asset, derivative, or other financial instrument, or an endorsement of any strategy.
3.3 You are solely responsible for your own investment and trading decisions. You should obtain independent professional advice before making any financial decision. Trading and investing carry a high level of risk, including the risk of losing all capital; you should not trade with money you cannot afford to lose.
3.4 You are solely responsible for determining whether your use of the Services and any resulting activity complies with the laws, regulations, and licensing requirements applicable to you in your jurisdiction, including securities, derivatives, and digital-asset regulations.

Your content and intellectual property — your alpha stays yours

4.1 Ownership of your content. As between you and Quandora, you retain all right, title, and interest in and to the factor code, formulas, plugins, prompts, parameters, hypotheses, and other materials you submit to the Services ("User Content"). We claim no ownership of your User Content or of the trading ideas it embodies.
4.2 Limited licence to us. You grant Quandora a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, execute, evaluate, and process your User Content solely to the extent necessary to provide, secure, maintain, and improve the Services for you, and to comply with law. This licence ends when your User Content is deleted from our systems, except for residual copies retained as required by law or in routine backups, and except for de-identified or aggregated technical data as described in Section 4.4.
4.3 User-scoped by design. We operate the Services so that your submitted User Content and individual Result Cards are scoped to your account. We will not publish your proprietary factor code or sell it to third parties. This does not limit the aggregate and anonymised uses permitted under Section 4.4, or disclosures required under Section 9 or by law.
4.4 Aggregated and anonymised data. We may generate and use aggregated, de-identified, or statistical data derived from use of the Services (for example, to run dedup/memory, calibrate pricing, prevent abuse, and improve our evaluation engine), provided such data does notidentify you and cannot reasonably be used to reconstruct your proprietary logic. We own all such aggregated and anonymised data.
4.5 Our intellectual property. The Services, including the Quandora platform, evaluation engine, software, data compilations, models, documentation, designs, and the "Quandora" name and logos, are owned by us or our licensors and are protected by intellectual-property laws. Except for the rights expressly granted to you in these Terms, we grant you no right, title, or interest in the Services. You may not use our trademarks without our prior written consent.
4.6 Feedback. If you send us feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them without restriction or obligation to you.

Acceptable use

6.1 You agree not to, and not to permit any agent, tool, or third party acting on your behalf to:
(a) use the Services in violation of any applicable law, regulation, or third-party right, including market-manipulation, insider-trading, money-laundering, or sanctions laws;
(b) access, tamper with, or use non-public areas of the Services, our systems, or the systems of our providers; probe, scan, or test the vulnerability of any system; or breach or circumvent any security or authentication measure;
(c) attempt to access, reverse-engineer, or reconstruct our server-side data, evaluation logic, source code, or any market data delivered only server-side (including circumventing the data-header design that withholds live values from the local agent);
(d) submit code or content that contains malware, or that is designed to disrupt, damage, overload, or gain unauthorised access to any system, data, or account;
(e) use automated means to access the Services in a manner that exceeds rate limits, degrades performance, or imposes an unreasonable load on our infrastructure, or otherwise interfere with the proper working of the Services;(f) resell, sublicense, rent, or commercially exploit the Services or Result Cards except as expressly permitted, or use the Services to build or train a competing product or service;
(g) misrepresent your identity or affiliation, or submit content that infringes the intellectual-property, privacy, or other rights of any third party; or
(h) use the Services in any manner that we reasonably determine to be fraudulent, abusive, or harmful to Quandora, other users, or third parties.
6.2 Third-party data and tools. Your use of the Services may involve market data and third-party tools (including exchange data such as Binance market data, and AI agents or coding tools you connect). You are responsible for complying with the terms and licences governing those third parties. We are not responsible for third-party data, availability, or accuracy.
6.3 Enforcement. We may investigate suspected violations and may suspend or terminate access, remove content, or take other action we consider appropriate. We may cooperate with law-enforcement authorities as required.

7.1 Current status. The Services are presently offered during an early-access period. Access to some or all features may be provided free of charge during this period. Early-access features are provided "as is" and may be changed, limited, or withdrawn at any time.
7.2 Future fees and credits. We may introduce paid features, a credit-based pricing model, or subscription plans. Where fees apply, we will present the applicable prices, credit values, and payment terms before you incur a charge, and your continued use after such terms take effect will constitute your acceptance of them.
7.3 Payment processing. Any payments will be handled by a third-party payment processor. We do not store full payment-card numbers. Your use of payment features is subject to the processor's terms and privacy policy, in addition to these Terms.
7.4 Taxes. You are responsible for all applicable taxes, duties, and levies associated with your use of any paid Services, other than taxes on our net income.
7.5 Credits (if and when offered). Any credits are a limited licence to use the Services and, unless we state otherwise in writing or as required by law, have no cash value, are non-transferable, and are non-refundable. We will describe the terms governing credits at the point they are offered.

Third-party services
Third-party services
The Services may integrate with or link to third-party products, data feeds, exchanges, cloud infrastructure, analytics providers, AI agents, and other services ("Third-Party Services").
Third-Party Services are governed by their own terms and privacy policies, and we do not control and are not responsible for their content, availability, accuracy, or practices. Your dealings with any Third-Party Service are solely between you and that third party.
The Services may integrate with or link to third-party products, data feeds, exchanges, cloud infrastructure, analytics providers, AI agents, and other services ("Third-Party Services").
Third-Party Services are governed by their own terms and privacy policies, and we do not control and are not responsible for their content, availability, accuracy, or practices. Your dealings with any Third-Party Service are solely between you and that third party.

We may delete your account and User Content in accordance with our data-retention practices and the Privacy Policy, subject to legal retention obligations. Sections that by their nature should survive termination (including Sections 3, 4, 6, 7.4, and 11–16) will survive.

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Quandora and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with: (a) your use or misuse of the Services; (b) your User Content; (c) your violationof these Terms or any applicable law or third-party right; or (d) any trading, investment, or other decision you make in connection with the Services.

12.2 No warranty as to results. Without limiting Section 2 or Section 3, we make no warranty that any data, statistic, backtest, evaluation, or Result Card is accurate, complete, current, reliable, or suitable for any purpose, or that any factor or strategy will achieve any result. You use the Services and rely on any output entirely at your own risk.
12.3 Some jurisdictions do not allow the exclusion of certain warranties; to that extent, the above exclusions may not apply to you, and nothing in these Terms excludes any liability that cannot be excluded by law.

13.2 To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the Services or these Terms will not exceed the greater of (a) the total fees you actually paid to us for the Services in the three (3) months immediately preceding the event giving rise to the liability, or (b) one hundred Singapore dollars (SGD 100).

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

14.1 These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes) are governed by and construed in accordance with the laws of Singapore.

Changes to these Terms

16.1 Entire agreement. These Terms, together with the Privacy Policy and any terms expressly incorporated by reference, constitute the entire agreement between you and Quandora regarding the Services and supersede all prior agreements on that subject.
16.2 Severability. If any provision is held to be invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force.
16.3 No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
16.4 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of assets.
